Jingtian & Gongcheng recently announced that Hongchuan Liu (刘洪川), Mingzhu Gu (顾明珠), and Huan Chen (陈欢) have officially joined the firm as partners. Mr. Liu and Ms. Chen will be based in the Beijing office while Mr. Gu will reside in the Shenzhen office. The practice areas of the three partners encompass cross-border investment and M&A, private equity and venture capital, international arbitration, domestic securities issuance and listing, and major asset restructuring. This talent acquisition will further enrich the partner roster of the firm in its core practice areas of foreign-related transactions, dispute resolution, and domestic capital markets.
Based in the Beijing office Mr. Liu brings 35 years of practical experience in international arbitration and cross-border transactions. His primary practice areas encompass cross-border investment and M&A, private equity and venture capital, and commercial arbitration. Mr. Liu has represented numerous investment institutions such as CICC Capital, Legend Capital, and WI Harper Group in hundreds of investment projects. He has also assisted multiple central state-owned enterprises and listed companies in structuring overseas investments across Asia, Africa, Europe, and North America. In dispute resolution he has long served as an arbitrator for institutions including CIETAC, SCIA, and BAC successfully handling numerous major arbitration cases involving investment valuation adjustment mechanisms and equity repurchase arrangements. Mr. Liu holds an LL.B. in International Law from Peking University and an LL.M. from Harvard Law School. He is qualified to practice law in the PRC and New York State. Prior to joining Jingtian & Gongcheng he served at CITIC Law Firm, practiced as a visiting lawyer at the London and Hong Kong offices of Clifford Chance, and practiced at Skadden. He later co-founded Broad & Bright and served for a long tenure as the Executive Partner of AnJie Broad Law Firm.
Based in the Shenzhen office Mr. Gu focuses on domestic securities issuance and listing, M&A restructuring, and investment and financing for listed companies. He possesses profound practical experience in corporate equity structuring, A-share IPO tutoring, and resolving complex legal issues. He has led the A-share IPO projects of numerous enterprises including Tecsun, WOTE, Lifotronic, Waterland, and Willfar Information Technology. He was also responsible for the refinancing matters of listed companies such as Luxshare Precision, Yongjin Technology, and Wenergy. Furthermore he has led several major asset restructurings, tender offers, and control transfer transactions for A-share listed companies such as Guangli Tech, Tatwah Smartech, and Kennede. Mr. Gu graduated from Southwest University of Political Science and Law with an LL.B. and an LL.M. in Civil and Commercial Law. Prior to joining Jingtian & Gongcheng he served as a partner at Tian Yuan Law Firm and JunZeJun Law Offices.
Also based in the Beijing office Ms. Chen primarily focuses on private equity and venture capital, foreign direct investment, outbound investment, and corporate M&A. She specifically serves technological innovation sectors such as artificial intelligence, commercial aerospace, healthcare, semiconductors, and advanced manufacturing. Ms. Chen has long provided top-tier private equity funds including CICC Capital with comprehensive legal services covering fund formation, equity investment, and post-investment exit. She has also led multiple landmark cross-border M&A transactions including the USD 190 million acquisition of a stake in South Korean REGEN Biotech by Imeik and the acquisition of the China business of IAC Group by Ningbo Huaxiang. Ms. Chen holds an LL.B. from Tsinghua University and a research-based LL.M. from the City University of Hong Kong. Prior to joining Jingtian & Gongcheng she served as a Registered Foreign Lawyer at the Hong Kong office of Jones Day, a Senior Associate at Run Ming Law Office, and a partner at AnJie Broad Law Firm.
